1) PRONTOS TECHNOLOGIES will assist, establish, create
and publish the CUSTOMER's content onto the world wide web within the
customers website.

2) PRONTOS TECHNOLOGIES will provide site development,
support and changes requested by designated individuals at the standard published website labor rate. This price rate is subject

3) PRONTOS TECHNOLOGIES will bill the CUSTOMER separately
for any additional fees associated with the setup and maintenance of the site; including but not limited to SITE ISP FEES, DOMAIN
REGISTRATION FEES, PROGRAM/SCRIPT FEES and SPECIAL UTILITY FEES. There will be a PRONTOS TECHNOLOGIES handling fee included on these
billings. The published PRONTOS TECHNOLOGIES handling fee rate can be found on the PRONTOS TECHNOLOGIES website.

4) For the CUSTOMER's protection only; PRONTOS
TECHNOLOGIES will provide the CUSTOMER
with a CD CODE COPY once a year at the fee rate as published on the PRONTOS TECHNOLOGIES website. More frequent updates are available upon request. This price rate is subject to published changes.(http://www.prontostech.com/Services/services.html)

5) The CUSTOMER will own the rights to the software code
as published to the web. PRONTOS TECHNOLOGIES will retain the exclusive rights to all development files and notes for the site
creation, development and publishing. For the CUSTOMER s' protection only; select development files will be included in the
aforementioned (#4) CD CODE COPY as delivered to the CUSTOMER.

6) Both parties reserve the right to terminate this agreement at any time.
|
|
|
7) The CUSTOMER agrees that it shall defend,
indemnify, save and hold PRONTOS TECHNOLOGIES. harmless from any and all demands, liabilities, losses, costs and claims, including
reasonable attorney's fees associated with the use of the CUSTOMER's website.
This includes liabilities asserted against the PRONTOS TECHNOLOGIES, it's subcontractors, it's agents, its clients, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product or service sold or delivered by the CUSTOMER , its agents, employee or assigns.

8) The CUSTOMER also agrees to defend, indemnify and hold
harmless PRONTOS TECHNOLOGIES against liabilities arising out of any injury to person or property caused by any products or services
sold or otherwise distributed over the CUSTOMER's web site. This includes infringing on the proprietary rights of a third party,
copyright infringement, and delivering any defective product or misinformation which is detrimental to another person, organization, or
business. In the event of any allegation of content ownership or usage infringements, the contested content will be immediately removed
from the web site until the issues are resolved.

MANUAL DATA ENTRY - Whenever possible data should be delivered in data form. The basic website agreement does not include manual data entry work. Time spent performing manual data entry is billed seperately at the published time& materials rate.

IMPORTANT NOTE: The terms and conditions stated above relate only to the basic website support
product and do not reflect the terms and conditions associated with a contracted WEB SERVICE PROVIDER CONTRACT.
